1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Easy Build Inc., a Delaware corporation ("Easy Build," "we," "us," or "our"), governing your access to and use of the Taffy platform, including the website at heytaffy.com, any associated mobile applications, and all related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

2. Description of Service

Taffy is a card-native payment platform that enables users to accept payments, tips, gifts, and fundraising contributions using debit and credit cards. Taffy operates on a card-native architecture: funds move directly from the payer's card through our payment processor to the recipient's card or connected account. Taffy does not hold, store, or custody user funds at any time. There are no stored balances, digital wallets, or pooled accounts.

The Service includes the following branded features:

  • Wrappers — personalized transaction notes, stickers, and memos attached to payments.
  • Candy Jar — community fundraising jars where users can browse, create, donate to, and manage crowdfunding campaigns with category filters, donor feeds, and update posts.
  • Taffy Pull — group payment pools where multiple contributors fund a shared goal.
  • The Snap — receipt-based bill splitting that lets users photograph a receipt, itemize charges with AI assistance, and divide costs among participants.
  • The Tug — payment requests sent to other users as friendly reminders to pay.

3. Eligibility

You must be at least 18 years of age (or the age of majority in your jurisdiction) to use the Service. By using Taffy, you represent and warrant that you meet this age requirement, that you have the legal capacity to enter into these Terms, and that you are not prohibited from using the Service under any applicable law.

4. Account Registration

To access certain features of the Service, you must create an account. When registering, you agree to:

  • Provide accurate, current, and complete information.
  • Maintain and promptly update your account information.
  • Keep your password confidential and not share your credentials with any third party.
  • Accept responsibility for all activity under your account.
  • Notify us immediately at admin@heytaffy.com if you suspect unauthorized access to your account.

Each user is assigned a unique handle (e.g., heytaffy.com/pay/yourname). Handles may be changed, and previous handles will continue to redirect to your current profile via our alias system. We reserve the right to reclaim, reassign, or reject handles at our discretion.

5. Payment Processing

All payment processing on Taffy is handled by Stripe, Inc. ("Stripe"), a third-party payment processor. By using the Service to send or receive payments, you also agree to be bound by Stripe's Connected Account Agreement and the Stripe Services Agreement, as may be modified by Stripe from time to time.

5.1 Card-Native Architecture

Taffy operates on a card-native model. We do not store, hold, or manage any user funds. When a payment is initiated, funds are charged to the sender's card by Stripe and disbursed to the recipient's connected account or card. Taffy acts solely as a technology platform facilitating these transactions and is not a bank, money transmitter, or financial institution.

5.2 Transaction Limits

Transaction limits vary by plan tier. Current limits are displayed on our Pricing page. We reserve the right to adjust limits at any time for fraud prevention or regulatory compliance purposes.

6. Fees

Taffy charges per-transaction fees and optional subscription fees. The current fee schedule is as follows:

  • Taffy Free: $0.99 flat fee + 3.2% card processing cost per transaction.
  • Taffy Sweet Spot: $4.99/month subscription + $0.69 flat fee + 3.0% per transaction.
  • Taffy Unwrapped: $29/month subscription + $0.39 flat fee + 2.9% per transaction.

For each transaction, the sender chooses whether they or the recipient absorbs the fee. All fees are clearly displayed before a transaction is confirmed. We reserve the right to modify fees with 30 days' prior notice. The authoritative fee schedule is always available on our Pricing page.

7. Subscriptions and Billing

Paid subscription plans (Taffy Sweet Spot and Taffy Unwrapped) are billed on a monthly recurring basis via Stripe. Your subscription will automatically renew each billing cycle unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date. Refunds for partial billing periods are not provided unless required by applicable law.

8. User Conduct

You agree not to use the Service to:

  • Violate any applicable local, state, national, or international law or regulation.
  • Engage in fraud, money laundering, terrorist financing, or any other financial crime.
  • Send or receive payments for illegal goods or services.
  • Harass, threaten, defame, or intimidate other users.
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity.
  • Use automated systems (bots, scrapers, or scripts) to access the Service without our written permission.
  • Interfere with, disrupt, or place an undue burden on the Service or its infrastructure.
  • Attempt to gain unauthorized access to any accounts, systems, or networks connected to the Service.
  • Upload or transmit viruses, malware, or other harmful code.
  • Use Wrappers, Candy Jar descriptions, or any user-generated content to distribute spam, hate speech, explicit material, or content that violates the rights of others.

9. Intellectual Property

The Service, including its design, text, graphics, logos, icons, images, software, and all other content (collectively, "Taffy Content"), is owned by or licensed to Easy Build Inc. and is protected by United States and international copyright, trademark, and other intellectual property laws. The Taffy name, logo, and all related names, logos, product and service names, designs, and slogans (including but not limited to "Wrappers," "Candy Jar," "Taffy Pull," "The Snap," and "The Tug") are trademarks of Easy Build Inc.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial purposes in accordance with these Terms. You may not copy, modify, distribute, sell, lease, or create derivative works from any Taffy Content without our prior written consent.

10. User Content

You retain ownership of any content you submit through the Service, including Wrapper messages, Candy Jar descriptions, profile information, and other user-generated content ("User Content"). By submitting User Content, you grant Easy Build a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, display, and distribute your User Content solely for the purpose of operating and improving the Service.

You represent and warrant that you own or have the necessary rights to submit your User Content and that it does not violate any third party's rights.

11. Disputes and Chargebacks

Payment disputes are subject to Stripe's dispute resolution procedures and applicable card network rules. If a chargeback is filed against a transaction processed through Taffy:

  • The recipient may be required to provide evidence supporting the legitimacy of the transaction.
  • Funds may be held or reversed during the dispute investigation period.
  • Easy Build is not responsible for the outcome of any chargeback or dispute.

We encourage users to attempt to resolve payment disagreements directly with each other before initiating a formal dispute or chargeback. Taffy Sweet Spot and Taffy Unwrapped subscribers receive priority dispute assistance.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

EASY BUILD DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EASY BUILD INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES YOU HAVE PAID TO EASY BUILD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless Easy Build Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third party's rights; or (d) your User Content.

15. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:

  • Violation of these Terms or any applicable law.
  • Fraudulent, abusive, or suspicious activity.
  • Extended periods of inactivity.
  • Requests by law enforcement or government agencies.

You may terminate your account at any time by contacting us at admin@heytaffy.com or through the account deletion feature in your privacy settings. Upon termination, your right to use the Service immediately ceases. Any pending transactions at the time of termination will be processed in accordance with Stripe's policies. Sections 9 through 14 and 16 through 18 shall survive termination.

16. Dispute Resolution and Arbitration

You and Easy Build agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not as a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to admin@heytaffy.com within 30 days of first accepting these Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of laws provisions. To the extent that litigation is permitted under these Terms, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

18. Changes to These Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by updating the "Last updated" date at the top of this page and, where appropriate, by sending an email notification to the address associated with your account. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

19. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Easy Build concerning the Service.
  • Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure. Easy Build shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet failures, or third-party service outages.
